הסכם גילוי סודי

שירות ניתוח סכמטיקה של Tomachie

1. הגדרות

\"מידע סודי\"

כל קבצי סכמטיקה, נתוני עיצוב, רשימות רשת, מידע רכיבים ונתונים טכניים קשורים שהועלו על ידי הלקוח לשירות.

“User”

כל אדם או ישות המשתמשים באתר או בשירות של Tomachie.

\"שירות\"

שירות ניתוח הסכמטיקה של Tomachie, כולל כל הניתוחים, הדוחות והפלטים שנוצרו ממנו.

\"Tomachie\"

Tomachie, LLC, חברה בעירבון מוגבל שהתאגדה לפי חוקי מדינת ניו המפשייר, ארה\"ב.

“AI Assist”

מצב עיבוד אופציונלי שנבחר על ידי המשתמש בזמן ההגשה המאפשר ניתוח בינה מלאכותית של העיצוב שהועלה. כאשר AI Assist אינו נבחר, השירות משתמש בניתוח דטרמיניסטי ללא כל מעורבות AI.

2. חובות הסודיות של Tomachie

Tomachie מתחייבת:

1. לשמור על כל המידע הסודי שסופק על ידי הלקוח בסודיות ולא לגלות אותו לצד שלישי כלשהו ללא הסכמה מוקדמת בכתב מהלקוח.
2. להשתמש במידע סודי אך ורק למטרת מתן השירות ושיפורו.
3. להגביל גישה למידע סודי לעובדים וקבלנים שצריכים לדעת ושמחויבים בחובות סודיות לפחות מגינות כאלה הכלולות בהסכם זה.
4. להחיל אמצעי אבטחה תעשייתיים להגנת מידע סודי מגישה, שימוש או גילוי בלתי מורשים.
5. Never use Confidential Information to educate, train, or instruct any person or system on a User’s confidential design.
6. Never fabricate, manufacture, or assist any third party in fabricating or manufacturing a product based on a User’s confidential design.
7. Not sell, license, or share Confidential Information with any third party, except as necessary to host data at Tomachie’s chosen data center supplier and to share certain compiled aspects of the design with Tomachie’s chosen AI supplier only when User elects to use “AI Assist”.

3. טיפול בנתונים

3.1 נתונים אישיים

3.2 נתוני עיצוב

קבצים שהועלו מעובדים בשרתים מאובטחים. הניתוח מבוצע אוטומטית ללא סקירה אנושית של תוכן העיצוב, למעט כנדרש לתמיכה טכנית שהתבקשה על ידי הלקוח או לאבחון ותיקון שגיאות בשירות.

3.3 שמירה ומחיקה

Standard (plaintext) design files: Uploaded schematic and design files are deleted within fifteen (15) days of processing. Tomachie may use this period for quality assurance, error correction, and Service improvement while honoring all confidentiality obligations set forth in this agreement. Access to retained files is limited to authorized Tomachie personnel with a need to know.

Encrypted-at-rest design files: When User purchases the optional private encryption service, uploaded design files are encrypted with a User-controlled AES-256 key before leaving User’s facility. Encrypted design files are deleted within twenty-four (24) hours of processing. The decryption key provided by User is held in server memory only for the duration of processing, passed directly to OpenSSL for decryption and re-encryption operations, and is never written to disk, logged, or otherwise retained. Tomachie personnel cannot access encrypted User designs as the key is not stored or made available beyond the automated processing pipeline.

Analysis reports: The analysis report generated by the Service is hosted for User access for up to thirty (30) days. Approximately forty-eight (48) hours after report creation, User will receive an email containing a link to permanently delete the report at any time. If User does not delete the report, it is automatically deleted after thirty (30) days.

3.4 אין שמירת נתוני AI או אימון AI

User PCB designs and schematic data processed by Tomachie are only analyzed by AI when the User specifically selects “AI Assist”. When AI Assist is used, the design information is held in memory only temporarily to perform the analysis and is then discarded. When User selects “AI Assist” and submits a design, Tomachie uses an API to an AI with private commercial terms, which explicitly prohibit use of customer data for AI model training.

3.5 הצפנה פרטית אופציונלית

Tomachie offers an optional private encryption service for a nominal fee that allows User to encrypt design files before upload using AES-256 encryption with a User-controlled key. When this option is selected, the design remains encrypted at rest throughout processing and is never stored by Tomachie in unencrypted form. User acknowledges the availability of this option and agrees that the decision not to purchase private encryption is made at User’s own discretion and may limit recoverable damages in the unlikely event of a data breach of the server.

4. החרגות

חובות הסודיות אינן חלות על מידע ש:

1. לא סומנה כסודית;
2. זמין או הופך לזמין לציבור שלא באשמת Tomachie;
3. היה ברשות Tomachie כדין לפני הגילוי על ידי הלקוח;
4. פותח באופן עצמאי על ידי Tomachie ללא שימוש במידע סודי;
5. התקבל כדין מצד שלישי ללא הגבלה על גילוי; או
6. נדרש לגילוי על פי חוק, בתנאי ש-Tomachie תיתן ללקוח הודעה מיידית ותשתף פעולה בבקשת הגנה.

5. בעלות

הלקוח שומר על כל הזכויות, הבעלות והעניין בכל המידע הסודי ובו. דבר בהסכם זה אינו מעניק ל-Tomachie זכויות כלשהן בקניין הרוחני של הלקוח למעט הזכות המוגבלת לעבד נתונים למטרת מתן ושיפור השירות.

6. ללא אחריות

השירות ניתן \"כמות שהוא\" ללא כל אחריות מכל סוג. Tomachie אינה מתחייבת שתוצאות הניתוח נקיות משגיאות או מתאימות למטרה מסוימת כלשהי. הלקוח אחראי לאימות כל התוצאות.

7. הגבלת אחריות

בשום מקרה לא תהיה Tomachie אחראית לנזקים עקיפים, מקריים, מיוחדים, תוצאתיים או עונשיים הנובעים מהשימוש בשירות. האחריות הכוללת של Tomachie לא תעלה על העמלות ששולמו על ידי הלקוח עבור השירות.

8. תוקף וגילוי מקרי

הסכם זה נכנס לתוקף עם השימוש הראשון של הלקוח בשירות ונמשך ללא הגבלת זמן. מידע סודי נשאר סודי לעד. עם זאת, האחריות של Tomachie לגילוי מקרי מוגבלת לתקופה של חמש (5) שנים ממועד הגילוי. לאחר חמש שנים, המידע נשאר סודי, אך Tomachie לא תישא באחריות לגילוי בלתי מכוון.

9. דין חל, סמכות שיפוט ושפה

הסכם זה יהיה כפוף לחוקי מדינת ניו המפשייר, ארה\"ב, ללא התחשבות בעקרונות ברירת דין. כל הליך משפטי הנובע מהסכם זה יוגש אך ורק בבתי המשפט הממוקמים במחוז סטראפורד, ניו המפשייר, ארה\"ב, והצדדים מסכימים בזאת לסמכות השיפוט האישית ולמקום השיפוט שם.

הסכם זה נערך בשפה האנגלית. כל תרגום לשפה אחרת ניתן לנוחות בלבד. במקרה של סתירה או חוסר עקביות בין הגרסה האנגלית לכל תרגום, הגרסה האנגלית תגבר.

10. Attorney’s Fees

In any court action, arbitration, or settlement related to this agreement in which Tomachie is the prevailing party, User shall pay Tomachie’s reasonable attorney’s fees, court costs, and related expenses.
