保密揭露協議

Tomachie 電路圖分析服務

1. 定義

「機密資訊」

客戶上傳至服務的任何電路圖檔案、設計資料、網路表、元件資訊及相關技術資料。

“User”

使用Tomachie網站或服務的任何個人或實體。

「服務」

Tomachie 電路圖分析服務，包括由此產生的所有分析、報告和輸出。

「Tomachie」

Tomachie, LLC，一家依據USA New Hampshire州法律組建的有限責任公司。

“AI Assist”

用戶在提交時選擇的可選處理模式，啟用對上傳設計的AI分析。未選擇AI Assist時，服務使用確定性分析，不涉及任何AI。

2. Tomachie 的保密義務

Tomachie 同意：

1. 對客戶提供的所有機密資訊保密，未經客戶事先書面同意，不向任何第三方揭露。
2. 僅為提供服務和改善服務之目的使用機密資訊。
3. 將機密資訊的存取限制在有知悉必要且受本協議同等保護性保密義務約束的員工和承包商。
4. 採用業界標準安全措施保護機密資訊免於未經授權的存取、使用或揭露。
5. Never use Confidential Information to educate, train, or instruct any person or system on a User’s confidential design.
6. Never fabricate, manufacture, or assist any third party in fabricating or manufacturing a product based on a User’s confidential design.
7. Not sell, license, or share Confidential Information with any third party, except as necessary to host data at Tomachie’s chosen data center supplier and to share certain compiled aspects of the design with Tomachie’s chosen AI supplier only when User elects to use “AI Assist”.

3. 資料處理

3.1 個人資料

我們在您自願選擇使用本網站服務時收集您的電子郵件地址。不會建立或儲存 Cookie。您提供電子郵件地址，我們使用它提供查看結果的連結。在每封發送的電子郵件中，都會提供退出未來郵件的連結。

3.2 設計資料

上傳的檔案在安全伺服器上處理。分析自動進行，無需人工審查設計內容，除非客戶要求技術支援或為了診斷和修正服務錯誤所必需。

3.3 保留與刪除

設計檔案： 上傳的原理圖和設計檔案，無論是否加密，均在上傳後十五（15）天內刪除。如果處理因需要 Tomachie 支援人員解決的錯誤而停止，檔案最多可保留三十（30）天，以便調查錯誤並重新處理設計。在遵守本協議規定的所有保密義務的前提下，Tomachie 可在這些期間內將檔案用於品質保證、錯誤修正和服務改善。對保留檔案的存取僅限於有必要知悉的經授權 Tomachie 人員。服務產生的設計更新副本（插入了測試點的原理圖）包含客戶的設計，按相同的時程刪除。

靜態加密的設計檔案： 當客戶購買選購的私密加密服務時，上傳的設計檔案在離開客戶場所之前即使用客戶控制的 AES-256 金鑰加密，並按照與所有其他設計檔案相同的時程刪除。客戶提供的解密金鑰僅在處理期間保存在伺服器記憶體中，直接傳遞給 OpenSSL 進行解密和重新加密作業，絕不會寫入磁碟、記錄到日誌或以其他方式保留。由於金鑰不會在自動處理流程之外儲存或提供，Tomachie 人員無法存取客戶的加密設計。

分析報告和產生的輸出檔案： 分析報告以及服務據此產生的其他檔案（物料清單、網表、裝置樹覆蓋檔案，以及設計者評分證書（如有））將持續託管供客戶存取，直至客戶將其刪除；Tomachie 不會按時程刪除它們。Tomachie 會透過電子郵件向客戶傳送一個連結，客戶可隨時使用該連結永久刪除報告及其產生的輸出檔案。如已頒發設計者評分證書，除非客戶選擇一併刪除，否則將予以保留。

3.4 不保留AI數據或AI訓練

User PCB designs and schematic data processed by Tomachie are only analyzed by AI when the User specifically selects “AI Assist”. When AI Assist is used, the design information is held in memory only temporarily to perform the analysis and is then discarded. When User selects “AI Assist” and submits a design, Tomachie uses an API to an AI with private commercial terms, which explicitly prohibit use of customer data for AI model training.

3.5 可選私有加密

Tomachie offers an optional private encryption service for a nominal fee that allows User to encrypt design files before upload using AES-256 encryption with a User-controlled key. When this option is selected, the design remains encrypted at rest throughout processing and is never stored by Tomachie in unencrypted form. User acknowledges the availability of this option and agrees that the decision not to purchase private encryption is made at User’s own discretion and may limit recoverable damages in the unlikely event of a data breach of the server.

4. 排除條款

保密義務不適用於以下資訊：

1. 未標記為機密；
2. 非因 Tomachie 的過失而已公開或變為公開的資訊；
3. 在客戶揭露前已合法持有於 Tomachie 的資訊；
4. 由 Tomachie 在未使用機密資訊的情況下獨立開發的資訊；
5. 從無揭露限制的第三方合法取得的資訊；或
6. 法律要求揭露的資訊，但 Tomachie 應及時通知客戶並配合尋求保護性處理。

5. 所有權

客戶保留對所有機密資訊的全部權利、所有權和利益。本協議中的任何內容均不授予 Tomachie 對客戶智慧財產的任何權利，除為提供和改善服務之目的而處理資料的有限權利。

6. 無保證

服務按「現狀」提供，不附帶任何形式的保證。Tomachie 不保證分析結果無錯誤或適合任何特定用途。客戶有責任驗證所有結果。

7. 責任限制

在任何情況下，Tomachie 均不對因使用服務而產生的任何間接、附帶、特殊、衍生或懲罰性損害負責。Tomachie 的全部責任不超過客戶為服務支付的費用。

8. 期限和意外揭露

本協議自客戶首次使用服務時生效，並無限期持續。機密資訊永久保密。但是，Tomachie 對意外揭露的責任限於揭露之日起五（5）年。五年後，資訊仍然保密，但 Tomachie 不對非故意揭露承擔責任。

9. 準據法、管轄地及語言

本協議受USA New Hampshire州法律管轄，不考慮法律衝突原則。因本協議引起或與之相關的任何法律訴訟或程序應專屬於USA New Hampshire州Strafford County的法院提起，雙方特此同意該法院的屬人管轄權和審判地。

本協議以英文簽署。任何其他語言的翻譯僅為方便而提供。如英文版本與任何翻譯版本之間存在任何衝突或不一致，以英文版本為準。

10. Attorney’s Fees

In any court action, arbitration, or settlement related to this agreement in which Tomachie is the prevailing party, User shall pay Tomachie’s reasonable attorney’s fees, court costs, and related expenses.
